A Registered User of the Platform is a User who completes the Platform registration procedure completed with the successful creation of an account, which is defined by the relevant WhitePress Platform Terms and Conditions.
"Copywriter" means a Platform User to whom WhitePress, upon request, assigns the role of Copywriter who develops articles and other content commissioned by WhitePress.
"Profile" means an extracted set of information within a registered account on the Platform about a person who develops content within the assigned role of Copywriter.
The User using the Platform is obliged:
to use the Platform in a manner which does not interfere with its functionality;
to use the Platform in a manner that is not disruptive to other Users and WhitePress, and to refrain from any action that may cause harm to other Platform Users or WhitePress;
not to provide or transmit on the Platform any content of an unlawful nature;
not to send or post unsolicited commercial information on the Platform.
Acceptance of these Terms and Conditions is voluntary but necessary in order to assign the role of Copywriter to a User's account.
A Copywriter can only have one account on the Platform. The final decision to assign the role of Copywriter to a given User is made independently by WhitePress.
Once the User has been assigned the role of Copywriter, they should complete the information regarding the services they provide within the Profile, including information regarding the subject matter of the articles they write and other content they create, as well as other information indicated by WhitePress, such as, for example, their education, experience, portfolio, description of services, as well as the proposed pricing terms for the various services they provide.
The Copywriter undertakes to keep the data provided in the Profile and in the User's account up to date. All communication from WhitePress will be based on the contact details currently provided in the User's account, which means that any consequences of failing to update these details are the responsibility of the Copywriter.
In the event of doubts about the information provided by the Copywriter, WhitePress may require the Copywriter to complete, correct, update the information or provide additional data, documents proving the veracity of the data provided in the form and timeframe specified by WhitePress, under penalty of suspension or deletion of the Copywriter's Profile.
A Copywriter's Profile may be removed or suspended by WhitePress without any prejudice if WhitePress determines that the Copywriter:
violates the provisions of these Rules or the law;
fails to perform its duties in a proper manner, which in particular refers to the fulfilment of the Copywriter's obligations to perform the services, to communicate with WhitePress in a timely manner;
provided false or incomplete data.
If WhitePress decides to delete a Copywriter's Profile, WhitePress shall inform the Copywriter.
Ordering content
WhitePress, through the functionality of the Platform, commissions the Copywriter to develop content (sponsored articles, product descriptions, advertising texts and others).
The ordering of content is carried out in such a way that WhitePress directly selects the Copywriter it wishes to entrust with the production of the chosen content, indicating its subject matter, specifications, detailed guidelines and deadline, and the Copywriter is notified via the Platform's functionality that it has been commissioned to prepare the content.
The Copywriter shall be entitled to refuse the order, of which he/she shall immediately inform WhitePress. In the event of the Copywriter's inactivity on the Platform after an order has been assigned, WhitePress shall have the right to remove the order granted at its sole discretion.
The content created by the Copywriter that is the subject of the order must have unique characteristics and the Copywriter, by posting the developed content on the Platform, undertakes and declares that the content has not been written by the Copywriter using tools based on content generators - in particular using artificial intelligence (OpenAI, Chat GTP or other similar tools).
The moment of fulfilment of a given order is deemed to be the moment of acceptance of the order communicated by the Copywriter via the relevant functionalities of the Platform by WhitePress or by the WhitePress end-customer for whom the content is being realised.
The Copywriter is entitled to remuneration for the correct execution of the assignment given, in the amount indicated in the Copywriter's price list, specified within the Copywriter Profile for the type of content in question.
The Copywriter undertakes, for a period of 6 months from the date of undertaking an order for a given Advertiser, not to contact the Advertiser outside the Platform and not to provide the Advertiser with services of the same nature outside the Platform.
Licence
As part of the services provided, the Copywriter grants WhitePress a licence to use the content created on behalf of WhitePress, which occurs as part of the remuneration for the assignment. The Copywriter is not entitled to separate remuneration for granting the licence.
A licence to the content is granted to WhitePress upon acceptance by WhitePress, within the fields of use indicated below:
recording and reproduction using any technique, including printing, reprography, digital technology and on magnetic, optical and electronic media, including recording and preservation in the form of an electronic book (e-book) and audiobook, in an unlimited number of copies, editions and reprints, both independently and in combination with other works or materials that do not fulfil the characteristics of a work;
to market and distribute copies or other media in all distribution channels without quantitative, material or territorial limitation or restrictions as to audience, in all available distribution channels, in particular through retail, kiosk, mail order, retail chains, book clubs, cross-selling, direct marketing, mail order, door to door, press inserts, via the Internet and business to business sales (delivery on request to companies), as well as through free giveaways;
the lending, leasing or rental of copies;
to be entered into computer memory and stored in computer memory; to be made available to the public by means of information and communication technology networks, particularly in the form of an e-book and a talking book, and in such a way that members of the public may access it from a place and at a time individually chosen by them;
the use of the content in the business activities conducted by the ordering party, to the full extent, in the areas (fields of exploitation) indicated in the register of entrepreneurs for the ordering party, coinciding with the official classification of activities, as well as in areas (fields of exploitation) with a similar profile;
reserving content as protected industrial property, including trademarks and industrial designs;
the use of the content in the advertising or promotion of any products and services, as well as for non-business purposes, both commercial and non-commercial and for investment purposes, as well as in educational, informational, publishing activities, in particular the use of the Works in promotional materials and advertising campaigns (regardless of the form of production, place or form of publication of such materials or campaigns) promoting the Ordering Party, the Ordering Party's enterprise, the Ordering Party's products, and others;
free use and enjoyment of the content and its individual elements;
altering, modifying, developing and improving the content, as well as translating, adapting, rearranging or otherwise changing the content;
marketing the content nationally and internationally;
the use of content on radio and television, in the printed press, on mobile phones, on GPS navigators, on the Internet and on other computer networks and similar media;
broadcasting and re-broadcasting by wire or wireless vision or satellite;
use of UMTS and GPRS content;
the creation and distribution of derivative works;
public performance, exhibition, display and reproduction;
the collection of remuneration for the use of content by third parties under a statutory licence.
The licence is granted in perpetuity and without territorial restrictions.
The licence also includes the right of WhitePress to grant further sub-licences. The Copywriter agrees not to use the content licensed to WhitePress in any activity, either commercially (for profit) or non-commercially.
The Copywriter declares that all content he makes available in the course of providing his services is of his own authorship, is of an individual and creative nature, and that he has full and unrestricted copyright in the content and is exclusively entitled to decide how to exercise his subsidiary and moral rights in the content.
Settlement rules
The Copywriter shall receive remuneration for services rendered, including the licensing of content, payable under the terms of these Terms and Conditions.
If the order is correctly completed, WhitePress credits the account on the Platform with the remuneration amount indicated in the order.
The Copywriter, on his or her own and at a time of his or her own choosing, orders the withdrawal of funds accumulated in the account.
Payment will be made by bank transfer to the Copywriter's bank account indicated by the Copywriter during account registration. The day of payment is considered to be the day on which WhitePress' bank account is debited with the full settlement amount.
Copywriters, on account of the remuneration paid to them, shall be obliged to settle and pay public law dues (payment of taxes and other public law liabilities) themselves, unless the law imposes such an obligation on WhitePress. WhitePress shall, in such a case, be entitled to reduce the amount paid by the necessary costs of such public law dues (including the deduction of withholding tax, if applicable).
Notwithstanding point 4.5 above, if WhitePress, as part of the remuneration due to the Copywriters, will be a payer of income tax (other public law liabilities), then this fact shall not increase the remuneration due to the Copywriter, which means that the remuneration is gross remuneration, unless VAT is applicable to the Copywriter's remuneration. In such a case, the Copywriter is obliged to provide WhitePress with all the information necessary for WhitePress to calculate the amount and payment of the public law liabilities.
WhitePress and the Copywriter authorise each other to use electronic invoices. If the Copywriter is not obliged to issue VAT invoices, then billing is carried out based on the invoices issued by WhitePress on behalf of the Copywriter and generated based on the functionality of the Platform.
The Copywriter is not authorised to make any independent settlements with the Advertiser for any services provided under these Terms and Conditions.
Final provisions
Any pre-existing agreements between the Copywriter and WhitePress shall terminate on the date of acceptance of these Terms and Conditions by the Copywriter and shall be superseded by the provisions of these Terms and Conditions.
Any disputes between the Copywriter and WhitePress will be resolved amicably and, if no agreement is reached, will be referred to a court with jurisdiction over WhitePress' registered office.
WhitePress shall have the right to amend these Terms and Conditions for valid reasons. The Copywriter will be informed of changes to the Terms and Conditions at least 7 days in advance.
Any matters not covered by these Terms and Conditions shall be governed by the provisions of the relevant WhitePress Platform Terms and Conditions, accepted by the Copywriter at the time of creation of the User's account on the Platform.
